Terms of service
Effective date: 06/10/2026
1. About these terms
These terms apply to wholesale orders placed with REUP Vintage Limited ("we", "us" or "our").
They should be read together with our Grading Policy, Returns Policy, Shipping Policy, the relevant product listing and the order confirmation. Together, these documents form the agreement between us and you the buyer.
If these documents conflict, any terms agreed specifically for an order in writing come first, followed by these terms and then the relevant policy.
2. Business customers only
We sell exclusively to businesses and sole traders purchasing stock for resale or commercial use.
By placing an order, you confirm that:
- You are buying wholly for business purposes;
- You have authority to place the order for the named business;
- The information you provide is accurate; and
- You have read and accepted these terms and the policies listed above.
We may request evidence that you are buying as a business. We may reject or cancel an order where information is false, misleading or incomplete. These terms apply instead of any purchasing terms submitted by the buyer unless we expressly agree otherwise in writing.
3. Nature of vintage goods
Our goods are vintage, second-hand, used, surplus or previously stored. Unless a listing clearly says otherwise, they are not new and should not be expected to meet the uniform condition, presentation or sizing standards of newly manufactured clothing.
Depending on the grade purchased, garments may show signs of age, storage or previous use. These can include fading, marks, bobbling, repairs, small holes, worn labels, missing non-essential parts and inconsistent sizing.
A characteristic permitted by the purchased grade is not a fault.
4. Grading
Our Grading Policy forms part of every order. Grades describe the overall commercial condition of a reseller box or wholesale lot. They do not guarantee that every item will be in exactly the same condition.
The tolerance stated in our Grading Policy applies. A box that meets its advertised grade and falls within that tolerance is considered correctly supplied. A buyer's own grading system or later regrading of the stock does not replace the grade under which it was sold.
5. Product descriptions and images
We take reasonable care when describing our stock, but photographs, videos, colours, measurements and quantities may be approximate where mixed wholesale stock is involved.
Images may show representative stock rather than the exact garments supplied unless the listing says that the pictured items are the items being sold. Vintage label sizes may differ from modern sizing, and screen or lighting differences can affect how colours appear.
Only information expressly included in the product listing, order confirmation or another written agreement forms part of the order.
6. Orders
Orders are final once placed and paid for. They cannot be cancelled or changed by the buyer without our written agreement.
We may reject or cancel all or part of an order where:
- Stock is unavailable;
- A clear pricing, description, discount or shipping error has occurred;
- Payment cannot be authorised;
- Fraud or payment-risk concerns arise;
- Delivery information is incomplete or incorrect;
- Supplying the order would be unlawful; or
- Something outside our reasonable control prevents fulfilment.
If we cancel goods that have not been dispatched, we will refund the amount paid for those goods.
7. Prices and VAT
The price is the amount shown when the order is placed, subject to the correction of obvious errors.
Delivery, import charges, customs fees and other additional costs are payable separately unless we expressly state that they are included.
We may correct genuine errors involving prices, tax, discount codes, stock quantities, currencies or shipping charges. If we identify an error before dispatch, we may cancel the affected goods and refund the amount paid or offer the buyer the option to proceed at the correct price.
Discount codes have no cash value and may be withdrawn where they have expired, been misused or been applied because of a system error.
8. Payment and ownership
Payment must be made in full before dispatch unless we have agreed otherwise in writing.
We do not offer credit accounts, part payment or payment on invoice unless expressly agreed. The buyer is responsible for any bank, currency-conversion or payment-provider charges applied to them.
Ownership of the goods passes to the buyer only after we receive full cleared payment. If a payment is later reversed or recalled, the amount becomes immediately due. Reselling, processing or transferring the goods does not remove the buyer's obligation to pay.
9. Dispatch and delivery
Orders placed and paid for before 3pm on a working day are usually dispatched on the next working day. Orders placed after the cut-off, over a weekend or on a UK bank holiday are usually dispatched on the next available working day.
Dispatch and delivery times are estimates unless we expressly agree otherwise in writing.
We may send an order in more than one parcel. The buyer is responsible for providing a complete delivery address, disclosing access restrictions and ensuring that someone is available to receive the delivery.
We are not responsible for additional costs or delays caused by incorrect information, restricted access, refusal of delivery, an unavailable recipient or failure to follow the courier's instructions.
10. Risk and failed delivery
Risk of loss or damage passes to the buyer when the order is collected from us by the courier or handed to a carrier arranged by the buyer.
This means the buyer bears the transit risk from collection, although we will provide reasonable help with a valid courier claim where we arranged the delivery.
If delivery cannot be completed because of the buyer, we may arrange storage, redelivery or return of the goods and charge the buyer the reasonable resulting costs.
Refusing delivery does not cancel an order or automatically create a right to a refund.
11. International orders
Buyers outside the United Kingdom are responsible for checking that the goods can lawfully be imported and resold in their country.
The buyer is responsible for all import VAT, sales taxes, customs duties, brokerage fees, clearance charges, licences, local labelling requirements and carrier charges.
Customs delays are outside our control. If a delivery is refused, abandoned or returned because the buyer has not completed customs clearance or paid the required charges, we may deduct the resulting delivery, return, customs, storage and handling costs from any amount otherwise refundable. The buyer remains responsible for any shortfall.
12. Inspection, claims and returns
The buyer must inspect the goods promptly after delivery.
Transit damage, shortages, incorrect goods and grading concerns must be reported within the time and in the manner set out in our Returns Policy.
The buyer must keep the goods, packaging, shipping labels and supporting evidence while we assess a claim. Goods must not be returned without our written approval. Approval to send goods back does not mean that the claim has been accepted.
While a claim is being considered, affected goods must not be washed, worn, sold, repaired, altered, relabelled or disposed of.
We do not accept change-of-mind returns. Any discretionary return must be expressly approved by us in writing and meet the conditions in our Returns Policy.
13. Cleaning and preparing stock
Unless a listing says otherwise, goods are supplied unwashed and unprocessed.
The buyer is responsible for deciding how individual garments should be washed, dried, steamed, pressed, treated, repaired or prepared for resale. Vintage fabrics and construction methods can react differently to cleaning and treatment.
We are not responsible for damage caused after delivery by washing, drying, stain treatment, steaming, pressing, repair, alteration, storage or other handling.
14. Reselling the goods
The buyer is responsible for inspecting, preparing, describing and marketing the goods before resale.
The buyer must not claim to be our agent, distributor or authorised representative unless we have agreed this in writing. We do not guarantee that the goods will sell, how quickly they will sell or the price or profit the buyer may achieve.
15. Limitation of liability
Nothing in these terms excludes or limits liability for:
- Death or personal injury caused by negligence;
- Fraud or fraudulent misrepresentation;
- Our legal right to sell the goods; or
- Anything else that cannot lawfully be excluded or limited.
Subject to the above, we are not responsible for indirect or consequential loss or for loss of profit, sales, business, opportunity, goodwill, anticipated savings or resale margin.
We are not responsible for marketplace charges, commitments made by the buyer to its customers or loss caused by the buyer's failure to inspect, handle, prepare or resell the goods appropriately.
Our total liability relating to an order will not exceed the amount paid for the goods directly giving rise to the claim.
Every exclusion or limit in these terms applies only to the extent permitted by law.
16. Claims caused by the buyer
The buyer is responsible for reasonable losses, third-party claims and costs arising from:
- An unlawful or misleading resale description;
- A promise or warranty made by the buyer that we did not authorise;
- Unsafe alteration, treatment or use of the goods;
- A breach of import, product, labelling or resale law; or
- A material breach of these terms.
The buyer is not responsible under this section for losses caused by our own breach, negligence or fraud.
17. Force Majeure
We are not responsible for delays or failures caused by events we could not reasonably control. These may include severe weather, fire, flood, strikes, transport disruption, customs delays, government action, system failure, cyberattack and supply-chain disruption.
Our affected obligations will be paused while the event continues.
If a substantial part of an order cannot be fulfilled for more than 30 days, either party may cancel the unfulfilled part. We will refund any payment received for goods cancelled under this section and not supplied. The buyer must still pay for goods already supplied.
18. Refusing or suspending service
We may suspend an order or account, cancel unfulfilled orders or refuse future service where:
- Payment is overdue, reversed or disputed;
- Fraud or unlawful activity is suspected;
- False or misleading information has been supplied;
- The buyer seriously or repeatedly breaches these terms;
- The claims process is abused;
- Continuing to supply would create a legal or regulatory risk; or
- The buyer becomes insolvent or appears unable to pay its debts.
This does not affect rights or obligations that arose before suspension or cancellation.
19. Website content and intellectual property
Our photographs, videos, product descriptions, grading material, branding, logos and other original website content belong to us or our licensors.
Buying goods does not give the buyer permission to copy, scrape, republish, distribute or commercially exploit that content.
The buyer must not interfere with the website, attempt unauthorised access or use automated systems to extract content or pricing without permission.
20. Third-party links
Our website may contain links to websites or services operated by other businesses. We provide these links for convenience and do not control or endorse their content.
We are not responsible for the availability, accuracy, security, products, services or privacy practices of a third-party website. The buyer uses third-party websites at its own risk and should read their applicable terms and policies.
21. Data protection and cookies
We handle personal information in accordance with our Privacy Policy and use cookies and similar technologies as explained in our Cookie Policy.
The buyer must ensure that any personal information it gives us has been collected and shared lawfully. We may use the contact details provided to administer accounts, process payments, fulfil orders, arrange delivery, handle claims and send other service messages.
22. Entire agreement
These terms and the documents listed in section 1 contain the whole agreement between us and the buyer for an order. They replace any earlier discussion, correspondence, proposal or statement about that order.
The buyer confirms that it has not relied on any statement that is not included in the agreement. Nothing in this section limits liability for fraud or fraudulent misrepresentation.
23. Severability
If any part of the agreement is found to be invalid or unenforceable, it will be adjusted or removed only to the extent necessary. The remaining provisions will continue to apply.
24. General legal terms
The buyer cannot transfer its rights or obligations under an order without our written agreement. We may transfer our rights as part of a sale or restructuring of our business and may use couriers, warehouses, payment providers and other contractors to fulfil an order.
Nothing in the agreement creates a partnership, agency, franchise or employment relationship.
If we delay enforcing a right, that does not mean we have given it up.
Nobody other than us and the buyer may enforce the agreement.
25. Changes to these terms
We may update this policy from time to time. The latest version will be published on our website and will apply from the effective date shown.
The version in force when an order is placed will continue to apply to that order. Updates will not apply retrospectively unless required by law or agreed with the buyer in writing.
If you do not accept an updated version, you should stop using our website and must not place any further orders. Continued use of our website after an update takes effect confirms your acceptance of the updated policy for future use and orders.
26. Governing law and jurisdiction
These terms and any dispute arising from them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
